The publication provides a complete guide to the European Takeover Directive, national M&A regulation, and the interaction between domestic and pan-European regulation.

It covers the fundamental principles of national and European law, its application, as well as practical issues that companies and their advisers face in relation to takeovers. The publication further explores the partial harmonisation within the European Union since the introduction of the European Takeover Directive, including case law and the relationship between ESG and M&A.

Fredrik Palm co-heads Gernandt & Danielsson’s corporate/capital markets practice group. He has over 20 years’ experience in the areas of private and public M&A, equity capital markets, and private and venture capital investments and divestments in a number of different sectors.
